Everything you need to know
A notice that a person has become a director, or ceased to be a director, of a company, as required by section 70 (6) must be filed within 10 business days after appointment. Any appointment to the board of directors need to comply with the Companies Memorandum of Incorporation (MOI). Every director being appointment should ensure that they are not disqualified to be a director according to Section 69 of the Companies Act.
What should be submitted?
The following documents should accompany your online application for Change of Directors:
- Form CM27, which is the Consent to act as Director or Officer
- A Power of Attorney, authorising MOI Financial Services to act on your behalf
- A Company Resolution, expressing the company’s approval of the change
- A certified ID copy for each director of the company, even if there is no change on them.
- For new directors – Consent to be appointed.
- For resigning directors – Letter of resignation.

All companies and close corporations.
Companies include:
- Section 21 Incorporated;
- Proprietary Limited;
- Limited;
- State owned companies;
- Non-profit companies (NPC); and
How do I submit?
Step 1: Download the forms, complete them in black ink, sign, date and scan them.
Step 2: Complete a section below for every director which needs to be added, removed or ammended. Remember to include a copy of all the Director’s IDs (existing and new).
Step 3: Attach the supporting documents, complete the rest of the form below and click submit. MOI Financial Services will take care of the rest.
