Annual Return

Everything you need to know 

Compliance is a mandatory requirement of the Companies Act of South Africa (“Act”) and all companies and close corporations (“companies”) need to adhere.  In terms of Section 33 of the Act and Regulation 30 of the Companies Regulations of 2011, all companies are required to complete and submit an annual return (with the required additional information) within 30 business days after each anniversary of the company’s date of Incorporation, or date of registration in the Republic. Late filing of Annual Returns will result in penalties.

Compliance is done via the submission of the Annual Return that is a yearly “renewal”.  Failure to do so will result in CIPC assuming that the company is not trading or is not intending on trading in the near future.  Non-compliance with annual returns may lead to deregistration,

    What should be submitted?

    Together with the Annual Return you are required to submit your:

    • Latest signed Annual Financial Statements; or
    • Financial Accountability Supplement (COR30.2); and/ or
    • From 1 January 2020 a Compliance Checklist.

    Who does this apply to?

    All companies and close corporations.

    Companies include:

    • Section 21 Incorporated;
    • Proprietary Limited;
    • Limited;
    • State owned companies;
    • Non-profit companies (NPC); and
    • Close Corporation

    How do I submit?

    Step 1: Complete all the below fields

    Step 2: Ensure the signed COR30.2 and Power of Attorney has been uploaded.

    Note: If you are unsure of any of the Public Interest Score information, please complete a “Nil”.  The Average number of employees are however a compulsory field.

      Does this entity have a Memorandum of Incorporation that prescribes auditing of financial statements?

      Does this entity hold any assets in a fiduciary capacity for persons not related to the company, and the aggregate value of such assets held at any time during the financial year exceeds R5 million?

      Does this entity compiles its Annual Financial Statements internally, for example, by its financial director or one of the owners), and has a Public Interest Score (PIS) of 100 or more?

      Does this entity have its Annual Financial Statements compiled by an independent party and has a Public Interest Score (PIS) of 350 or more?

      Was the company incorporated directly or indirectly by the state, an organ of state, a state-owned company, an international entity, a foreign state entity or a foreign company?

      Was the company was incorporated primarily to perform a statutory or regulatory function in terms of any legislation, or to carry out a public function at the direct or indirect initiation or direction of an organ of the state, a state-owned company, an international entity, or a foreign state entity, or for a purpose ancillary to any such function?
